Pursuant to a share lending agreement entered into between Keh Swee Investment Pte. Ltd. ("Keh Swee") and CIMB Securities (Singapore) Pte. Ltd. ("CIMB Securities"), Keh Swee is deemed to be interested in 22,000,000 shares in Gaylin Holdings Limited which CIMB Securities had borrowed from Keh Swee. CIMB Securities will return an equivalent number of shares either through the purchase of shares in the open market in the conduct of stabilisation activities or through exercise of an over-allotment option granted by Gaylin Holdings Limited to CIMB Securities.
